Termination: Extended WARN Notice – Letter to Government Officials
Dear Ms. Handberg:
In accordance with the Worker Adjustment and Retraining Notification (“WARN”) Act of 1988, I am
writing on behalf of Xellia Pharmaceuticals USA LLC (“Xellia”) to update our previous correspondence
to you.
On June 17, 2024, you received a letter (copy attached) explaining that, in connection with its
agreement for the sale of its assets (the “Transaction”) to Hikma Pharmaceuticals USA Inc. (“Hikma”),
Xellia anticipated a permanent layoff of approximately 247 U.S. employees (of which 214 work in
Xellia's facility located at 200 Northfield Rd., Bedford OH 44146 (“Bedford OH location”)).
We write to inform you that two who (i) work at the Bedford OH Location and (ii) were previously
expected to be separated on August 17, 2024, are now expected to be separated on October 31,
2024. The affected employees have agreed to assist Xellia with transition services related to
decommissioning in connection with the Transaction.
The affected employees whose separation date have been impacted have been notified and have
been provided with proper updated notifications in accordance with the notice requirements of the
WARN Act. For your information, we have also enclosed a copy of the updated notice we provided
to the affected employees.

Dear Ms. Handberg:
This notice is being provided pursuant to regulations contained in the Worker Adjustment and
Retraining Notification (“WARN”) Act of 1988, which requires affected employers to provide notice
to certain government units or officials of a pending mass layoff or permanent closure.
Xellia Pharmaceuticals USA LLC (“Xellia”), which has a facility at 200 Northfield Rd., Bedford OH
44146, recently announced its agreement for the sale of its assets (the “Transaction”) to Hikma
Pharmaceuticals USA Inc. (“Hikma”). In connection with the Transaction, Xellia anticipates a
permanent layoff of approximately 247 U.S. employees (of which 214 work in Xellia's Bedford OH
location).
All affected employees have been notified of their expected separation dates and that their
separation from employment is expected to be permanent.
